Heads of Terms are not legally binding but they can provide a useful framework for a deal. Many of our clients find our suggestions useful and talk to us before Heads of Terms are formally agreed. Our involvement in the detail of these negotiations can often save time and money later on. It is important that Heads of Terms incorporate the major terms. If they do not, and you try to change the deal at a later stage, your bargaining position may be compromised.
