Sale of Shares: Directors Personal Liability

Where a company has made representations in negotiations, and also in a Share Purchase Agreement, which were false and dishonestly made the person who has made the fraudulent misrepresentation on behalf of the company can be personally liable for the damages awarded against the company, the High Court has found.
