Mergers & Acquisitions
Expand your business with mergers and acquisitions
One of the most rapid ways in which a business can grow is to buy another business or company.
Whatever you do, talk to us early on and certainly before you sign Heads of Terms.
Whilst the terms mergers and acquisitions are often used in unison there are differences between them. A merger is a legal consolidation of two entities into one entity, whereas an acquisition occurs when one entity takes ownership of another entity’s shares or assets. The distinction between the two is less clear from a commercial view as both transactions generally end up in the consolidation of assets and liabilities.
Before proceeding you will need to consider many things including
- The legal structure
- Due diligence
- How payment will be structured
- Tax planning
- Protection and goodwill
We have acted for and enjoyed working with many business owners over the years who have expanded their companies by acquisition.
We are very happy to talk to business owners on a preliminary basis to discuss the options available.
