Agency agreements

An agent is responsible for making a contract between his principal, which is the business or individual he represents, and the principal’s customer or client. The agent will not buy goods himself but will receive a commission on the sales made.

Distribution agreements

A distribution agreement gives a distributor the right to sell goods on behalf of a supplier in a specified geographical territory. The distributor will buy the goods themselves from the supplier, then sell them on at a higher price.

A distribution agreement will generally include geographical restrictions, restrictions on selling competing products, pricing details, a requirement to purchase a minimum amount each time, provisions regarding liability and details of how the agreement can be terminated.
